General leasing terms and conditions
- 1. Declaration of Agreement
- Each ESG.STYLE project will provide contractual protection, including details on furniture selection, work schedule, pricing, inspection timelines for each stage, and payment amounts, all of which are specified in the contract to safeguard your rights.
- 2. Definitions
- In these General Terms and Conditions the following terms, whether used in the singular or the plural, and indicated in a capital letter have the following meanings:

Products:
It is meant all the New Products offered for rent by ESG.STYLE on the IKEA office leasing website, namely office furniture.
Site:
It is meant the Internet Site operated by the company the company Shun-Kang Asset Management & Consultant Co.
Customer:
It is meant the company which wishes to rent for a fixed period, more of the items rented by ESG.STYLE for its needs.
FaaS:
“Furniture as a Service”, a service by which ESG.STYLE grants the use of Products it owns to Customer for a duration to be agreed between the Parties in exchange for payment of the Use Fee. After the agreed duration, Customer must return the Products to ESG.STYLE.
Use Fee:
The monthly fee for the use of the Products as agreed in the Leasing Contract.
Contract Duration:
The term of the use of the Products by User as set out in the Leasing Contract, with a duration of 24 months.
Leasing:
It is meant the Leasing contract concluded between ESG.STYLE and the Client, relating to the Products offered on the Site.
ESG.STYLE:
A business under the company Shun-Kang Asset Management & Consultant Co., and its office at 4F., No.159, Zhongyang Rd., Xindian Dist., New Taipei City.
Customer service:
It is meant the ESG.STYLE customer service located at 4F., No.159, Zhongyang Rd., Xindian Dist., New Taipei City, reachable by post, by telephone on (02)8913-6689 (price of a local call from fixed and mobile phones), from Monday to Friday, from 9 a.m. to 6 p.m., or by email via the form in the Contact section of the Website.

3.1 Customer shall provide ESG.STYLE with relevant documents for ESG.STYLE to carry out the credit operation process. ESG.STYLE reserves the right to request additional documents from Customer if necessary to ensure compliance with the contractual agreement, all of which shall be in accordance with relevant legal regulations.
3.2 ESG.STYLE needs providing Products.
3.3 The initial Contract Duration will be 24 months. After the end of the initial Contract Duration, the both parties have to re-sign the Leasing contract to extend the term.
3.4 Customer is authorized to terminate the Leasing contract prior to the expiry of the Contract Duration in writing in observance of a notice period of two full calendar month.
3.5 After both parties sign the contract, Customer shall not cancel the product confirmation or terminate this agreement before the delivery of the Products, except in the event of force majeure (article 11.2) that results in the destruction of Customer’s office. If Customer cancels the product confirmation or terminates this agreement for reasons other than force majeure, Customer agrees that ESG.STYLE may forfeit the deposit.
3.6 Customer hereby agrees that the Products will only be used for office purposes. The selected products are only valid for ten working days. If it exceeds ten working days, unless there are special circumstances, Customer shall be responsible for reconfirming the content of the product order form with the designated brand. After the Products is installed, Customer shall not arbitrarily move Products to other addresses or disassemble the furniture on their own. If Customer needs to move out of the rental premises due to reasons such as buying or selling a house, renovation of the business premises, etc., Customer shall notify ESG.STYLE in writing of the change of address and the agreement to transport and assemble the Products or terminate the contract three months before the scheduled moving date. The related transportation and assembly costs shall be calculated separately.
3.7 Disclaimer: As the Products is selected by Customer, ESG.STYLE only has the obligation to deliver the Products in its current condition. Customer shall not use any defects in the furniture design, manufacture, or use that cannot be attributed to ESG.STYLE as a basis for termination of the contract or request for return or replacement of the Products. ESG.STYLE shall only be responsible for assisting the original manufacturer in handling and coordinating such matters.
- 4. Rights Relating to the Products

4.1 Upon the start of the FaaS services and for the entire duration of the FaaS services, the Products are the property of ESG.STYLE, both in the legal sense and for tax purposes. ESG.STYLE provides only the use of the Products to Customer.
4.2 ESG.STYLE is authorized to place markings on the Products to indicate that the owner of the Products is ESG.STYLE or a third-party owner. Customer must ensure that such markings remain properly readable.
4.3 Customer must refrain from any conduct that might infringe upon the ownership rights or any other rights of ESG.STYLE. Customer may not exercise rights of disposition over the Products or encumber the Products with restricted rights. This means, in part, that Customer may not sell, pledge, rent out, or otherwise grant rights of use to the Products to third parties.
- 5. Assembly and Use

5.1 After obtaining the fee with Customer, ESG.STYLE shall purchase from the furniture brand with the Commodity Confirmation form signed by Customer.
5.2 ESG.STYLE will provide for the transport, installation and assembly of the Products at the location and date desired by Customer as indicated in the Leasing Contract.
5.3 Customer must verify the dimensions and information indicated in the Offer at the actual work location. The assessment of the suitability of the construction of the building in which the Products are to be assembled is a responsibility of Customer.
5.4 If there is any change in the delivery date or location, Customer shall notify ESG.STYLE in writing fourteen working days before delivery.
5.5 Customer agrees that if changes to the delivery date or location result in a delay in the ESG.STYLE delivery, both parties agree that the Customer shall be responsible for paying all expenses incurred as a result of the delay (including but not limited to daily storage fees, additional transportation costs, etc.).
5.6 If the ESG.STYLE is unable to complete the delivery in accordance with this provision due to force majeure events such as natural disasters, earthquake, strikes, typhoons, wars, riots, legal requirements, government mandates or prohibitions, major pandemics, or other events beyond their control, the ESG.STYLE shall immediately notify the Customer and negotiate alternative solutions or an extension of the delivery deadline. ESG.STYLE shall not be held responsible for any delay caused by such events.
5.7 Customer shall ensure that the site has completed decoration, installation of water, electricity, and electrical appliances, and the indoor site and floor shall be clean and intact. In addition, Customer shall also ensure and be responsible for providing assembly site lighting, water and electricity, elevators, transportation routes, sufficient and safe assembly space, etc.
5.8 The Products may only be relocated with ESG.STYLE, excepting where other arrangements are made in specific cases. For this work, ESG.STYLE will charge a fee as specified for such cases in the offer issued by ESG.STYLE.
5.9 The Products to be granted in use are exclusively intended for use as furnishing of a work environment. Customer will ensure that the Products are used in this manner and in accordance with their functionality and that the Products are treated with care. Customer bears the responsibility for keeping the Products in a good state of maintenance.
5.10 Customer may not make temporary or permanent modifications to the Products.
- 6. Surrender of Products upon End of Right of Use

6.1 Upon termination of this agreement, Customer shall restore the appearance, function, and accessories of the rental furniture to their original condition and in accordance with normal use. There shall be no residual odor (including smoke), dirt, text, markings, or damage.
6.2 After both parties confirm that the handover is correct, ESG.STYLE shall return the performance bond to Customer without interest on the 25th of the following month. In the event of the aforementioned situation, ESG.STYLE may deduct the cleaning and repair costs from the performance bond and return the remaining amount to Customer without interest.
6.3 6.3 ESG.STYLE shall provide furniture removal service after the rental period expires. Customer shall notify ESG.STYLE of the removal request two months before the contract expiration date, and ESG.STYLE shall complete of furniture removal.
- 7. Fees

7.1 For the use of the Products, Customer owes a Use Fee to ESG.STYLE. The amount of the Use Fee to be paid monthly will be set out in the Leasing Contract in question. This amount will be payable in advance by direct debit.
7.2 ESG.STYLE shall compile a leasing payment breakdown for the Customer based on the product confirmation and covering a period of two years (24 periods).
7.3 During the rental period, the Use fee shall be paid in 24 monthly installments. Customer shall pay the performance bond (30% of the total contract amount) and the rent for each installment as agreed upon on the signing date of the contract.
7.4 The amount of the Use Fee and other service costs under the Leasing Contract will be including 5% sales tax.
7.5 In the event of any changes or adjustments to taxes and fees during the rental period due to government regulations, both parties agree to adjust the Use fee accordingly based on the new tax regulations, whether it is an increase or decrease in amount.
- 8. Maintenance by Customer and Damage to Products

8.1 Customer is liable towards ESG.STYLE for all damage to and/or loss of the Products in whole or in part due to human negligence whatsoever.
8.2 During the period, ESG.STYLE shall provide necessary adjustment and maintenance services for the Products that is used normally free of charge. If the Products needs to be transported back to ESG.STYLE 's place for repair, ESG.STYLE may provide substitute furniture of the same level to Customer for use until the repair is completed or replaced with the same level of furniture. However, Customer shall pay for the transportation costs and ESG.STYLE 's service fees.
8.3 During the period, if ESG.STYLE is unable to increase, add, or replace the designated brand of furniture, consumables, decorations, etc., due to environmental protection and low-carbon regulations, logistics factors, or the discontinuation of designated furniture items or colors, ESG.STYLE may provide Customer with a replacement of the same level of products or reduce the related fees to continue the furniture rental service, which shall not be regarded as a breach of contract by ESG.STYLE.
8.4 Customer will report any damage to or defects in the Products to ESG.STYLE immediately. After such a report, an assessment will be made of whether and within what time frame repair of the damage or remedy of the defect will be necessary for continued use by Customer and which party will bear the expense and risk of repair or remedy. ESG.STYLE is authorized, but not obliged, to replace one or more Products.
8.5 If there is a need for maintenance of the Products, ESG.STYLE shall be responsible for repairing it upon receiving notice with in three work day. However, if the damage is caused by human negligence, Customer shall be liable for compensation.
- 9. Insurance of ESG.STYLE

9.1 ESG.STYLE has contracted building contents insurance for the Products that Customer acquires the use of under a Leasing Contract. The insurance is in accordance with normal standards of the industry – and accordingly will, at a minimum, comprise coverage of damage to and loss of the product as a result of fire, explosion, water damage, theft, etc. ESG.STYLE will be able to furnish an insurance certificate demonstrating that this insurance has been contracted if so requested by Customer.
9.2 ESG.STYLE shall insure the Products with fire insurance and its additional insurance, as well as theft insurance. However, the deductible shall be agreed upon by Customer, and Customer shall complete the payment within seven working days after receiving written notification from ESG.STYLE. If the Customer fails to complete the payment within the agreed time, ESG.STYLE may deduct the amount from the performance bond, and Customer shall replenish the performance bond within seven working days after receiving written notification from ESG.STYLE.
9.3 In the event of an insurance accident such as fire, earthquake, typhoon, flood, theft, etc., Customer shall immediately report to the authorities and notify ESG.STYLE within 24 hours of becoming aware of the insurance accident. Customer shall also make every effort to provide all documents required by ESG.STYLE to claim insurance compensation, including but not limited to access control records, audio and video files.
9.4 If part or all of Products is covered by insurance during the rental period and the insurance company refuses to pay or the compensation amount is insufficient, or if there is damage to the Products that is not covered by insurance, Customer agrees to bear the full responsibility.
9.5 The joint guarantor hereby unconditionally guarantees that they will jointly guarantee Customer to pay the rent and all expenses of ESG.STYLE in accordance with this agreement, compensation for damages caused by the Customer’s breach of this agreement, cleaning and maintenance expenses, late payment interest, and all other debts.
- 10. Termination of Leasing Contracts

10.1 If one or more of the situations listed below or any similar situation arises, Circular Interiors is entitled to terminate any Leasing Contract with immediate effect by means of notice in writing:
Failure by User in the fulfilment of any obligation under these General Terms and Conditions and/or a Leasing Contract, for example, the late payment or failure to make payment of any payment obligation.
Application for provisional or definitive suspension of payments by User or submission of a request for the declaration of bankruptcy of User (either by a creditor or User’s on application thereto).
An attempt towards and/or an actual agreement on a debt restructuring scheme or a composition with regard to the debts of User (either at User’s initiative or an attempt by other stakeholders to reach such an arrangement).
In the event of a change of the business/economic or other circumstances of User that in the reasonable opinion of Circular Interiors is such that there are reasonable grounds to doubt proper performance of User’s obligations.
10.2 In the event of cancellation on the basis of this article 10.1, User’s right of use of the Products ends immediately and Customer must surrender the Products immediately.
10.3 Customer will immediately inform ESG.STYLE of any of the circumstances as referred to in this article 10.1.
10.4 If a Leasing Contract is cancelled on the basis of article 10.1, Customer still owes all amounts of all monthly Use Fees incurred up to that point. In addition, all monthly fees still to be incurred under the Leasing Contract in question are immediately exigible. Beyond this, ESG.STYLE is entitled to seek compensation of all damages.
10.5 If Customer terminates the contract during the first year of the contract, ESG.STYLE may forfeit the performance bond, and Customer shall pay the remaining rent for the first year as a punitive penalty. If Customer terminates the contract during the period from the first year to less than the second year of the contract, Customer shall pay 50% of the remaining rent before the end of the lease term as a punitive penalty, and shall assist in handling the related matters of terminating the contract properly.
10.6 If Customer violates the provisions of this agreement and is notified in writing by ESG.STYLE, Customer shall provide an explanation within seven days of receiving the written notification and shall improve within fifteen days. If Customer fails to improve, ESG.STYLE may terminate this agreement and may claim compensation for damages from Customer. If the contract is changed, terminated, or rescinded due to reasons attributable to the second party, ESG.STYLE shall not bear the related expenses.
10.7 If Customer violates the provisions of this agreement due to reasons attributable to Customer, and this agreement is terminated by ESG.STYLE in accordance with the preceding provisions, ESG.STYLE may forfeit the performance bond, and Customer shall pay compensation in the amount equivalent to one year's rent as a punitive penalty, and shall retrieve all the Products. ESG.STYLE may claim compensation for all losses suffered due to Customer 's breach of contract, including but not limited to transportation, disassembly and assembly costs, furniture damage repair and cleaning costs, legal fees, and litigation costs.
- 11. Non-attributable Failure (Force Majeure) of ESG.STYLE and/or Customer

11.1 In the event of force majeure, the party to the Leasing Contract affected by the situation of force majeure is entitled to either suspend performance of the obligations towards the other party or to rescind the Leasing Contract in question in whole or in part without judicial intervention and without being obliged to pay any compensation towards the other party or any third parties, this choice at the discretion of the party affected by the situation of force majeure.
11.2 Force majeure Force majeure includes, but is not limited to: any circumstance beyond the control of ESG.STYLE or Customer, or any circumstance not reasonably predictable by ESG.STYLE or Customer, that prevents the fulfilment of the obligations of a Leasing Contract, either temporarily or permanently. Such circumstances include, but are not limited to: war, risk of war, riots, other disturbances of public order, fire, natural disasters, strike, restrictive governmental measures or other governmental measures affecting performance, the failure to acquire required permits, business disruptions, or full or partial default by third parties from which Products are procured.
- 12. Applicable Law and Competent Court

12.1 Any disputes concerning matters to which these Leasing General Conditions apply will be submitted to Taipei District Court, Taiwan.
- 13. Others

13.1 The attachment is also an integral part of this agreement.
13.2 The parties to this agreement, ESG.STYLE and Customer, are independent legal entities with their own rights. Except for the rights and obligations arising from this agreement, neither party has the authority to act as an agent or employer for the other party. Neither party shall claim rights or assume obligations on behalf of the other party in any legal act with a third party.
13.3 ESG.STYLE and Customer are prohibited from disclosing or authorizing any third party to use the contents of this agreement and related customer information.
13.4 Both parties understand that this agreement is for ESG.STYLE to rent out their Products and provide related services to Customer. ESG.STYLE has no partnership, joint venture, agency, or any other relationship with other furniture brands.
13.5 In case of any ambiguity in the interpretation of this agreement, ESG.STYLE shall have the final right of interpretation and the interpretation of the ESG.STYLE shall prevail.
